Presearch Shut Down and Left Me With 60 Cents. Their Own Filings Show Why.

The financials were public the whole time. Here's the 90-second check that would have saved me €100.

I bought €100 of PRE about two and a half years ago. I was not trying to get rich. I run affiliate sites, and Presearch had an ad model I genuinely wanted to test: keyword staking. You committed PRE tokens to a search term, minimum 100 PRE per keyword, and whoever staked the most owned the ad slot on that term. [14] No per-click billing. No auction bleed. Stake and hold.

That is a real idea. I wanted to see if it converted.

Last week I was on holiday cleaning up my portfolio, saw PRE sitting there at roughly minus 99%, and went to log in.

The site was gone.

Presearch shut down its servers permanently on July 28, 2026. [2] So I did what I should have done in 2024 and read the public record. What I found was worse than a failed startup. The numbers that predicted this were sitting in a government filing the entire time.

What the shutdown announcement actually said

Almost every summary I’ve read of the Presearch shut down gets this backwards, and I got it backwards too on my first read.

The official post says the team took over Presearch three years ago when it was “weeks from going offline; an unsustainable token model, limited monetization, and a bloated, expensive infrastructure.” [1]

Read that again. Those three failures describe what the incoming team INHERITED in August 2023. They are not the 2026 postmortem. Tim Enneking’s group acquired the assets of the original Colin Pape project in August 2023 and took full control by November 2024. [15]

The actual reason given for closing was narrower:

“We were chasing one million legitimate daily searches, the point where we believed the business would become sustainable, and recent trends made clear that milestone wasn’t realistic within a meaningful timeframe.” [1]

One million legitimate DAILY SEARCHES. Not one million users. That distinction matters enormously, and I’ve seen it misreported everywhere.

How far off were they? In December 2025, Presearch’s own press release said the platform served “nearly 10 million searches per month.” [6]

That is roughly 330,000 per day. They needed to triple, and the operative word in their sentence is “legitimate,” which implies a chunk of that 10 million was farmed by people gaming the search-to-earn rewards.

“So they were close, right?” No. Tripling daily search volume on a product losing users is not a stretch goal. It’s a different company.

But none of that explains the four days’ notice. For that you need the money.

The number nobody bothered to look up

Here is the part that made me genuinely angry at myself.

In March 2025, Presearch launched a $1.24 million raise on Wefunder at a $15 million valuation. [5]

That was a Reg CF offering, meaning US crowdfunding rules under Regulation Crowdfunding. Reg CF = you must file real financial statements with the SEC. Public. Free. Searchable.

Here is what those statements showed: [4]

Monthly burn as of February 2025: $40,000. Runway: 2.2 months. [4]

Two point two months. In February 2025. Sit with that.

A company with $23,735 in the bank, burning $40K a month, generating $208K a year in revenue, was asking retail investors to buy in at a $15 million valuation. That is roughly 72 times annual revenue.

(Note: 72x revenue is a multiple you’d expect from a hypergrowth SaaS company with 90% margins. Presearch’s cost of revenue was more than double its revenue.)

They were selling search at a loss. Every single search cost them more to serve than it earned. Scaling that 3x to hit one million daily searches would have TRIPLED THE LOSS unless the unit economics flipped first. Nothing in the public record shows they flipped.

The raise didn’t rescue them either. They closed $183,328 of the $1.235 million maximum on June 27, 2025. [4] About 15% of target.

“Why didn’t anyone flag this?” Someone did. It was on Kingscrowd and in the SEC filing index. I just never looked, because I’d mentally filed my €100 under “small bet on a nice idea” rather than “investment in a company.” That was the actual mistake, and it’s the one I’d bet most of you reading made too.

So a company with a 2.2-month runway in February 2025 lasted until July 2026. Where did seventeen more months of money come from?

The 21 days before the lights went out

I pulled Presearch’s newsletter archive and built the timeline. It is a bloody mess.

  • July 3, 2026: Live webinar, “The Road to 1M Searches.”
  • July 8: “Introducing AI-Seek Nodes: The Next Evolution of Presearch Search.”
  • July 14: Newsletter titled “1,000,000 Searches.” Opening line: “Google doesn’t want us to hit 1 million searches.” It calls the milestone “proof,” says “we’re proving that’s a massive lie,” and asks users to recruit four friends each. [9]
  • July 16: Series IV auction announced. 75 AI-Seek Node Licenses. Target APR 20%. Estimated reward $36.50 per month. Reserve price 75,000 PRE. Required stake 27,500 PRE. Bidding opens July 22. [7]
  • July 20: “Get Ready as AI-Seek Enters the Wasteland.” Documentation repo updated on GitHub the same day. [13]
  • July 21: Series IV auction postponed. The stated reason was not money. It was that they wanted to hit the 1M milestone first, “not because the tech isn’t ready. Not because the demand isn’t there.” [8]
  • July 24, 12:59 PM Pacific: Presearch is shutting down, effective immediately. [1][3]

Three days. Three days from “the tech is ready and demand is there” to dead.

To be fair on the one point where fairness is due: they postponed Series IV rather than taking the money and closing. That matters, and I won’t pretend otherwise.

But on July 14 they were telling users to recruit four friends each to a platform that would be offline in fourteen days. Either the board decision landed with no warning, or the marketing calendar kept running while the people writing it knew. Neither version is good.

The node operators got the worst of it

The node license auctions are where the real money went, and where the real damage landed. [7]

  • Genesis, December 2025: 142 licenses, sold out in under 24 hours, every one clearing above 2x reserve.
  • Series II, February 2026: sold out, 418 total licenses placed, over 2x the PRE removed from circulation versus Genesis.
  • Series III: 200 Vector Nodes, 15.7 million+ PRE removed from circulation.
  • Series IV, July 2026: postponed, then cancelled by shutdown.

These weren’t lottery tickets. They were sold as infrastructure with a 20% target APR attached. [7]

Somebody bought a Vector Node in spring 2026 expecting yield, and the network died within months.

Presearch also retired the older C-Seek nodes in July 2026, offering a 45,000 PRE rebate toward AI-Seek, with the old NFT burned on redemption and a credit that “never expires.” [7]

That credit expired eight days later.

One Reddit commenter put it plainly: “Imagine the poor fool who bought a bunch of nodes last auction.” Another: “Truly disappointing that you gave no heads-up to your long term supporters in the way of node runners to exit.” [11]

So what did any of us actually get back?

What happened to your PRE tokens

Withdrawals stayed open until July 27, 5 PM PST, then got extended 24 hours to July 28, 5 PM PT because of redirect problems on the site. Account recovery requests were accepted until July 31. [1][2]

The 24-hour staking hold was removed so people could unstake and pull out immediately. Web3 stakers had to unstake directly through the smart contract via a block explorer. [1]

Mechanically, that worked. Financially, it was pointless.

PRE hit an all-time high of $0.8142. [10]

It now trades around $0.00017. That is a drawdown of 99.98%. Market cap sits near $159,000 for the entire project, with 930 million tokens circulating. Twenty-four hour trading volume: about $121. [10]

Not $121,000. One hundred and twenty-one dollars.

Here’s what that means for actual holders, in their own words from the shutdown thread: [11]

  • One user with 1,000 PRE reported it was worth six cents.
  • Another with 15,000 tokens wrote: “not even worth gas money to withdraw.”
  • A third: “Not even worth the gas fees to trade.”

That’s the trap nobody warns you about.

Gas fees = the network charge to move tokens on Ethereum or Base. When your holding is worth $2.55 and the transaction costs more than that, YOUR TOKENS ARE UNREACHABLE EVEN THOUGH YOU TECHNICALLY STILL OWN THEM.

You didn’t lose access. You lost the economic ability to use the access you have.

My own €100, bought at roughly three to five cents per token, is now worth somewhere under a euro. Withdrawing it would cost more than it’s worth. So it stays where it is, as a very cheap lesson.

Was the source code released?

The loudest community demand after the announcement was open sourcing. The top comment on the shutdown thread, 37 upvotes: “Please open source all of the code.” A stickied follow-up thread argued the community could then run its own nodes and keep the index alive. [11][12]

I checked the GitHub organization directly. Here’s what is actually public: [13]

Documentation (updated July 20, 2026), the Base token contract PRE-Token-Base (May 31, 2026), the original Ethereum PRE-Token contract, smart contract audits, the iOS and Android browser forks under Mozilla Public License, the browser core, presearch-packages, brand assets, and an OpenSearch URLFrontier implementation from 2022.

What is NOT there: the search engine backend, the node orchestration layer, the Indee index, or the ad and keyword staking system. The repos that mattered never appeared, and nothing new was pushed after July 20.

Wikipedia’s assessment holds: as of 2025 the stack was “partially open-source.” [3]

It ended that way. The company deleted its Medium blog, its Twitter, Telegram, Discord and YouTube. [12]

The subreddit survived only because a community member had transferred moderation control to founder Colin Pape back in 2018 and remains a top mod. [12]

That’s the part that stings for a project built on decentralization. When the centralized team walked, almost everything walked with them.

Is anyone actually suing?

I looked. No.

I found no lawsuit, no class action filing, no regulatory action, and no formal complaint specific to Presearch. What exists is one Reddit comment reading “Class action lawsuit” with two upvotes, and one user asking whether the community could “legally force Presearch to become open source.” [11][12]

That is the sum total.

I’m not a lawyer and this isn’t legal advice, but the structural problem is easy to see. PRE was marketed as a usage and staking token, not an equity security. Token holders generally have no shareholder standing. The people with the strongest theoretical position are the Wefunder investors who bought SAFEs in 2025, because they hold actual securities. A SAFE in a company that dissolved with no assets is worth what you’d expect.

Every claim here would face the same wall: proving the company knew it was closing while still soliciting. The July 21 postponement actually cuts against that theory, since a team planning an exit takes the auction money.

Anger is not a filing. There isn’t one.

The four checks I run now

I lost €100 and a few hours of holiday. Some people in that Reddit thread lost thousands. One posted a 2017 cost basis of 8.87 ETH. [11]

Here’s what changed in my process:

  1. Search the SEC filing index before you buy any token attached to a real company. Presearch’s Reg CF filing number was 020-35650, publicly linked from the campaign page. [4] Ninety seconds of reading would have shown me a 2.2-month runway. If a crypto project has ever done Reg CF, Reg A+, or Reg D, financials exist. Go read them.
  2. Compare cost of revenue to revenue, not revenue to valuation. Presearch’s COGS was $451,790 against $208,547 revenue. When it costs you more than double to deliver the product, growth accelerates death. Growth = faster losses when unit economics are negative.
  3. Treat “we need one big milestone to become sustainable” as terminal. Sustainable businesses don’t have a single number standing between them and survival. Presearch needed 3x daily search volume. The gap between “we need X to survive” and “we’re growing steadily” is the whole ballgame.
  4. Never hold anything below roughly $50 in value on a fee-charging chain. Below that, gas costs eat your exit. Decide your floor before you buy, not when the project is dying.

The idea behind Presearch was sound. Search shouldn’t be three companies deciding what a few billion people can find, and keyword staking as an ad model still deserves a serious attempt by someone with a working balance sheet.

But the vision wasn’t the problem. A $208,547 revenue line carrying a $451,790 cost line was the problem, and it was public for sixteen months before the servers went dark.
