Anthropic filed its IPO prospectus with the SEC on Monday, leaving the share price blank but revealing in a footnote that its board valued the stock at roughly $71.43 as of September 30. The figure emerged from a $2 billion third-quarter expense recognized to match shares employees donated to charity in August, settled with about 28 million non-voting Class N shares in October.
Dividing those numbers yields $71.43, with a possible range of $69.52 to $73.35 due to rounding. Under its donation matching plan, Anthropic says, “the company will donate one non-voting share for each donated share equivalent that the participant donates.”
The company is a Delaware public benefit corporation, and its stock has climbed quickly in private rounds. Series E investors paid $5.61 per share in March 2025, Series F paid $14.10 in September 2025, and Series G closed at $25.91 per share in February 2026.
After the Series H round valued the company at $965 billion in May, or $58.90 per share, the board approved roughly 91 million RSUs with a $5.8 billion value, implying around $64. Then came September’s $71.43 mark, about 21% above the Series H price.
Meanwhile, private-market pricing has moved higher. Nasdaq Private Market indicated $85.10 on October 9, and live estimates from Notice show roughly $90.80 on a split-adjusted basis, with Notice’s unadjusted $908 reflecting Anthropic’s 10-for-1 split on September 17.
Those estimates imply a valuation near $1.5 trillion, and Reuters reported the equivalent of about $88.56 per share. At $71.43, Anthropic‘s 16.9 billion shares implied roughly $1.2 trillion, and a $2 trillion IPO valuation could put the stock NVIDIA-talks-invest-anthropics-mega-ipo-sources-say-2026-09-11/” target=”_blank” rel=”noreferrer noopener”>around $118.
Anthropic has requested the ticker ANT for its upcoming Nasdaq listing. The final public trading price is unknown, but the board’s September mark includes a discount for lack of marketability, suggesting a debut above $71.43.
